This agreement is made and entered into on the ....... Day of........................ between

M/S SILVERLINE ASSOCIATES, 201 D, TRADE CORNER, SAKINAKA JUNCTION, ANDHERI (E), MUMBAI 400072,
INDIA herein after called as The AGENT,


M/S.....................................................................................................................................

hereinafter called as The COMPANY,

for the purpose of recruitment of.........(...) number of WORKERS from INDIA by The Agent for Employment in Saudi

Arabia in the Company's Office(s)and Project(s), subject to the following terms & conditions :

SCOPE OF AGREEMENT

The Company hereby appoints the Agent and the Agent hereby accepts the appointment to be the Company's  Representative for  recruiting Indian workers for employment in the Company's office(s) and project(s) in Saudi Arabia.

1. RECRUITMENT

a) The person or persons recruited shall be for the employment as per Letter of Demand and shall be
designated as stated in the Letter of Demand.

b) The Company shall provide the Agent with an Employment Agreement for each approved candidate
immediately after such approval.

c) The Company shall provide the Agent with all the necessary documents for processing work visa
application and all emigration requirements for the Ministry of Labour, Government of India. The Company shall ensure that all required documents are made available to The Agent within a reasonable time-frame to enable the Agent commence recruitment  for the Company.

d) The Company shall guarantee and provide to the Agent, all the visas within .........(....) days' period from date of signing this Agreement.

e) All the Recruitment Expenses like advertisement costs in newspapers, candidates' practical tests, medical check-ups, ticketing charges, immigration fees, etc. shall be borne by The Company.


2. DURATION OF THE CONTRACT

a) The duration of the contract initially shall be for a period of...... years and renewable thereafter by mutual agreement.

3. RESPONSIBILITIES OF THE COMPANY

a) The salary and other allowances to the employee(s) shall be paid as stated in The Letter of Demand or The Letter of Appointment.  b) The Company shall be responsible for the provision of the following facilities as per the SAUDI ARABIAN

Labor Law & Government Rules:

- free accommodation,
- free food or allowance in lieu,
- free transportation,
- overtime pay for extra hours of work,
- free medical aid
-cover the employees under Social Insurance 

c) All complaints made by the employee(s) and their relatives regarding the employee(s) working condition shall be settled as soon as possible.

d) The employee(s) shall be entitled to ......(...) days paid leave on completion of the contract period of ........... months.

e) Free Return Air Tickets shall be provided to all employees after completion of the contract period of  ........... months.

f) The Company shall pay for the employees' end-of-service benefits and all other entitlements due under Labour Law of SAUDI ARABIA.

4. RESPONSIBITIES OF THE AGENT

a) The Agent shall select suitable candidates according to the Company's requirements and submit the  relevant documents to the Company for approval.

b) The Agent shall undertake to ensure that all candidates shall be fit for the employment and shall be guaranteed for a period of 90 days from the date of departure. This 90 days period is considered as probation period.

 c) The Agent will guarantee the deployment of all workers within .....working days from the date of receiving Letter of Demand by the Company (Subject to visas reaching the concerned Embassy on time).

5. IN THE CASE OF DEATH

a) In the case of death of the employee(s) during the contract period. The Company shall arrange repatriation of the remains of the deceased along with the personal effects and savings at the expense of The Company.

6. COMPENSATIONS

a) The Company shall ensure that the Personal Life and Accident Insurance for the employee(s) are provided for work-related illnesses, injuries or death in accordance with Labour Law of SAUDI ARABIA. 

7. OTHER CONDITIONS

a) n the event of dispute arising from the implementation of this Agreement, the Agent and the Company  shall try to settle the disagreement amicably by mutual consultations. If no settlement is reached, the dispute shall be submitted for adjudication to the appropriate court of jurisdiction in the country of the Agent. The decision of the courts shall be final and conclusive as between the parties hereto in respect of the matter in dispute and as to cost, charges and expenses arising from its settlement.

8. TERMINATION OF AGREEMENT

a) Both parties have the option to terminate this Agreement by giving 30 (thirty) days written notice of intent to terminate. This notice shall be sent by registered post to the address of the other party as stated in this Agreement.

b) In case of Termination of the Agreement by the Company, the Company shall pay to the Agent all costs and expenses borne by the Agent in connection with the recruitment. Such payment shall be made to the Agent in advance and the actual Termination of Agreement will take effect only after written confirmation of receipt of such dues by the Agent.

c) In the event of circumstances beyond the reasonable control of the Agent such as natural calamities (like Earthquake, Epidemic etc), Riots, War, Government Restriction, etc., the Agent can terminate this agreement without notice, clearly outlining the  Force-Majeure circumstances, and be absolved from the responsibility of further execution of this agreement. 

This agreement is drawn up in ..... (..) Originals, one Original for each party hereof and ..... Originals having been signed by the parties in acknowledgment of their agreement to the contents thereof and in the presence of the witnesses.

In testimony the parties hereto have signed this Agreement by their authorized officials on the day of ........................ at .........................in the presence of witnesses.
